These Terms of Service govern your access to and use of Nutomo.com, Nutomo themes, software, licences, downloads, updates, support services and related products.
Nutomo is a brand powered by Velivion Ltd, a company registered in the Republic of Cyprus under registration number HE 495527.
References in these Terms to “Nutomo”, “we”, “us” or “our” refer to Velivion Ltd operating the Nutomo brand.
By purchasing, downloading, accessing or using Nutomo, you agree to these Terms.
1. Nutomo Products
Nutomo provides digital products designed primarily for use with Shopify, including Shopify themes, theme features, templates, updates, documentation and related services.
The features included with each Nutomo product or version are those described on Nutomo.com at the time of your purchase.
2. Eligibility
You must have the legal capacity to enter into a binding agreement to purchase or use Nutomo.
If you purchase Nutomo on behalf of a company or another organisation, you represent that you have authority to bind that organisation to these Terms.
3. Purchases
Prices displayed on Nutomo.com apply at the time an order is placed unless an obvious pricing error has occurred.
Any applicable taxes may be added or handled according to your location and applicable law.
Payment must be successfully completed before access to a paid Nutomo product is provided.
We reserve the right to refuse or cancel orders reasonably suspected of fraud, payment abuse or other unlawful activity.
4. Digital Delivery
Nutomo products are supplied digitally.
After successful payment, access may be provided through a download page, customer account, email, licence system or another electronic method.
You are responsible for providing a valid email address and maintaining access to your account.
5. Licence
Unless expressly stated otherwise when you purchase a product, each Nutomo licence grants you a limited, non-exclusive, non-transferable except as specifically permitted below, revocable right to use the purchased Nutomo theme on one Shopify store at a time.
The licence does not transfer ownership of Nutomo intellectual property to you.
6. Multiple Stores
One licence may only be active on one Shopify store at a time.
If you operate Nutomo on two or more stores simultaneously, you must purchase an appropriate licence for each store.
7. Licence Transfers
You may transfer your Nutomo licence from one Shopify store controlled by you to another store where Nutomo permits licence transfers, provided that:

Nutomo is removed from the previous store;

the licence is not used simultaneously on multiple stores; and
-
the transfer is not intended to resell, sublicense or distribute Nutomo to another person.
We may apply reasonable technical procedures to licence transfers to protect against abuse.
8. Prohibited Uses
You may not:
-
sell, resell or redistribute Nutomo or its source files;

share a licence with another person or business;
-
upload Nutomo to public repositories or file sharing websites;
-
sublicense Nutomo;
-
provide copies of Nutomo to third parties;
-
remove, bypass or interfere with licence control mechanisms;
-
reverse engineer Nutomo for the purpose of creating a competing or substantially copied product;
-
represent Nutomo or any substantial part of it as your own commercial theme product;
-
use Nutomo in violation of applicable law; or
-
use a single licence simultaneously across multiple stores.
You may customise your licensed copy for the operation and design of your authorised Shopify store.
9. Intellectual Property
Nutomo, its source code, designs, functionality, documentation, trademarks, logos, branding and other proprietary materials are owned by or licensed to Velivion Ltd and are protected by applicable intellectual property laws.
Except for the limited licence expressly granted under these Terms, no intellectual property rights are transferred to you.
10. Lifetime Access
Where a Nutomo product is described as providing lifetime access, this means access to the purchased product for as long as Nutomo continues to make that product available, subject to these Terms and the licence remaining valid.
Lifetime access does not mean that Nutomo is required to maintain a particular feature indefinitely, provide unlimited custom development or guarantee compatibility with every future version of Shopify or third-party software.
11. Updates
Where your Nutomo purchase includes updates for a stated period, those updates will be provided in accordance with the product description applicable at the time of purchase.
After any included update period, continued updates may be subject to separate terms or fees if clearly communicated.
Nothing in this section limits mandatory rights relating to digital content under applicable consumer law.
12. Support
Nutomo may provide documentation, tutorials and customer support relating to installation and use of the theme.
Unless expressly included in your purchase, support does not include:

custom website development;
-
custom coding;
-
store management;
-
configuration of unrelated third-party applications;
-
correcting third-party code;
-
ecommerce consulting; or
-
guaranteed response or resolution times.
13. Shopify and Third-Party Services
Nutomo is designed for use with Shopify but Nutomo and Velivion Ltd are independent from Shopify Inc. unless expressly stated otherwise.
Shopify and other third-party trademarks belong to their respective owners.
Your use of Shopify and third-party applications or services remains subject to their own agreements and policies.
Changes made by Shopify or third-party applications may affect Nutomo functionality.
14. No Guarantee of Commercial Results
Nutomo provides tools and functionality intended to help merchants build and operate ecommerce stores.
We do not guarantee:
-
sales;
-
conversion rates;
-
search engine rankings;
-
website traffic;
-
revenue;
-
profitability;
-
customer acquisition;
-
advertising performance; or
-
any specific business outcome.
References to potential savings, conversions or business benefits are illustrative and depend on how Nutomo is used and the merchant’s individual circumstances.
15. Product Compatibility
Before purchasing, you are responsible for reviewing the product description, functionality and compatibility information provided on Nutomo.com.
Third-party applications, custom code and external integrations may affect theme functionality.
Where legally required, Nutomo will provide remedies for digital content that does not conform to the contract.
16. Refunds
Refunds are governed by the Nutomo Refund Policy, which forms part of these Terms.
Nothing in these Terms limits statutory consumer rights that cannot legally be excluded.
17. Account and Licence Security
You are responsible for maintaining the security of your account credentials, download links and licence information.
You must notify us promptly if you become aware of unauthorised access or use.
18. Suspension and Termination
We may suspend or terminate a licence or access to Nutomo where we reasonably determine that:

the licence has been shared or redistributed;
-
payment was fraudulent or reversed;
-
Nutomo is being used on more stores than permitted;
-
our intellectual property is being infringed;
-
these Terms have been materially breached; or
-
suspension is necessary to comply with law.
Where appropriate, we may provide an opportunity to remedy the breach before termination.
19. Disclaimer
To the maximum extent permitted by applicable law, Nutomo is provided on an “as available” basis.
We do not warrant that Nutomo will be completely uninterrupted, error free or compatible with every third-party application, browser, device or future Shopify platform update.
Nothing in these Terms excludes warranties or protections that cannot legally be excluded.
20. Limitation of Liability
To the maximum extent permitted by applicable law, Velivion Ltd will not be liable for indirect, incidental or consequential losses arising from the use of Nutomo, including loss of profits, sales, business opportunities or data.
Where liability cannot lawfully be excluded, our liability will be limited only to the extent permitted by applicable law.
Nothing in these Terms limits liability where limitation would be prohibited by law.
21. Changes to Nutomo
We may improve, modify, replace or discontinue individual features where reasonably necessary for technical, security, legal or commercial reasons.
Where mandatory consumer law imposes requirements relating to modifications of digital content, those requirements will apply.
22. Changes to These Terms
We may update these Terms from time to time.
Material changes affecting existing customers will be handled in accordance with applicable law.
The current version will always display its latest revision date.
23. Governing Law
These Terms are governed by the laws of the Republic of Cyprus, subject to any mandatory consumer protection rights available to consumers under the law of their country of residence.
Nothing in this section deprives a consumer of protections that cannot legally be waived.
